Welcome to Mestaria Consultancy LLC ("we", "us", "our"). These Terms and Conditions ("Terms") govern your access to and use of the Mestaria website, platform, services, and any associated applications or content (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Who Can Use Our Services

(iv) Not be located in or a citizen of a jurisdiction that prohibits participation in consultancy or technology-related services.

a) We reserve the right to block or terminate access to users in restricted jurisdictions or those who violate these Terms.
2. Account and Service Usage
2.1 Account Creation
a) You may be required to create an account to access certain features of our Services.
b) You are responsible for maintaining the confidentiality of your account credentials.
2.2 User Responsibility
a) You are solely responsible for maintaining the security of your account credentials.
b) You must not share your account credentials with anyone.
c) You must notify us immediately of any unauthorised use of your account.
3. Intellectual Property and Confidentiality
3.1 Client Intellectual Property
a) To the extent that valid and protectable intellectual property (IP) exists in respect of any ideas, concepts, or materials you submit or develop through our Services and you own such IP, we shall not raise any claim of ownership in respect of the same and it shall remain your IP.
b) Mestaria does not claim ownership over your content, IP, or business concepts.
3.2 Mestaria Intellectual Property
a) All Mestaria trademarks, designs, logos, methodologies, and original content are owned by Mestaria or its licensors.
b) You may not copy, reproduce, or distribute our proprietary content without our written permission.
3.3 Confidentiality
a) We understand that our Services may involve access to confidential information.
b) We maintain strict confidentiality protocols and will not disclose your confidential information to third parties without your explicit consent, except as required by law.
c) You acknowledge that some aspects of our work may be visible to other team members or service providers under confidentiality obligations.
4. Service Features and Availability
4.1 Evolving Services
a) Mestaria is an evolving consultancy. Our services including marketing strategy, communications, technology integration, and legal consulting may change or expand over time.
4.2 Service Modifications
a) We reserve the right to update, suspend, or modify any service without prior notice. The act of accessing the Services will confirm your acknowledgement to be bound by these Terms and any amendment or update from time to time.
4.3 No Guarantees
a) Access to our Services does not guarantee specific business outcomes, funding, or commercial success.
b) All assessments, recommendations, and strategic guidance are advisory tools and do not constitute financial, legal, or investment advice unless explicitly stated in a separate engagement agreement.
5. Professional Services and Engagement
5.1 Service Scope
a) Our Services include consultation, advisory, platform integration, regulatory support, and business intelligence across marketing, communications, technology, and legal domains.
5.2 Client Responsibility
a) Participation in our Services and implementation of our recommendations is at your own risk and discretion.
b) You are responsible for understanding the regulatory environment in your jurisdiction and ensuring compliance with applicable laws.
5.3 Professional Standards
a) We maintain professional standards in accordance with industry best practices.
b) Specific terms of engagement will be outlined in separate service agreements where applicable.
6. Code of Conduct
6.1 User Behaviour
a) By using our Services, you agree to our Code of Conduct which includes that you will:
(i) Respect our team members, partners, and other clients;
(ii) Not provide false, misleading, or harmful information;
(iii) Not attempt to breach our systems' security;
(iv) Not impersonate another person or entity;
(v) Comply with all applicable laws and regulations.
6.2 Enforcement
a) We reserve the right to suspend or terminate services to clients that violate this Code of Conduct.
7. Data Protection
7.1 Data Collection and Use
We may collect, process, and store personal data from clients in accordance with applicable data protection laws. Personal data will be used solely for the purpose of providing and improving our Services, ensuring a personalised experience, and communicating with clients.
7.2 Consent
By using our Services, clients consent to the collection and processing of their personal data as described in these Terms and our Privacy Policy. Clients may withdraw their consent at any time by contacting us at hello@mestaria.com.
7.3 Data Security
We implement appropriate technical and organisational measures to protect personal data against accidental or unlawful destruction, loss, alteration, unauthorised disclosure, or access. However, clients acknowledge that no method of transmission over the internet or method of electronic storage is 100% secure.
7.4 Data Retention
Personal data will be retained only as long as necessary to fulfil the purposes for which it was collected, or as required by law. Upon expiration of the retention period, personal data will be securely deleted or anonymised.
7.5 Client Rights
Clients have the right to access, rectify, or erase their personal data, as well as to restrict or object to its processing. Clients may exercise these rights by contacting us at hello@mestaria.com.
7.6 Third-Party Sharing
We will not sell, trade, or otherwise transfer personal data to third parties without the explicit consent of clients, except as required by law or as necessary to provide services (e.g., with service providers who assist in delivering our consultancy services).

8.2 No Guarantees
a) We do not guarantee uninterrupted access, error-free functionality, or specific outcomes from using our Services.

a) Unless explicitly stated in a separate engagement agreement, our Services do not constitute formal financial, legal, or investment advice.
b) You are solely responsible for your business decisions and actions.
9. Limitation of Liability
9.1 No Liability
a) To the maximum extent permitted by law, Mestaria is not liable for any direct or indirect, incidental, or consequential damages arising from your use of our Services.
9.2 Specific Exclusions
a) This includes, but is not limited to, loss of data, profits, business opportunities, or reputational damage.
10. Termination
10.1 Termination Rights
a) We reserve the right to suspend or terminate your access to our Services at any time, without notice, if you violate these Terms or engage in harmful or abusive behaviour.
b) Either party may terminate ongoing service engagements in accordance with the terms of specific service agreements.
11. Governing Law
11.1 Jurisdiction
a) These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.
b) Any disputes in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai. Both parties irrevocably submit to the jurisdiction of the Dubai courts and waive any objections to the venue or jurisdiction. We may also pursue claims in any other jurisdiction where we are entitled to do so.
c) If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
12. Changes to These Terms
12.1 Right to Amend
a) We may update these Terms occasionally.
12.2 Notification
a) We will notify clients of significant changes via the website or email.
12.3 Continued Use
a) Continued use of our Services after changes are published constitutes acceptance of the updated Terms. The act of accessing our Services will confirm your acknowledgement to be bound by these Terms and any amendment or update from time to time.
